This Week’s IPOs
LIS Technologies
LIS Technologies (proposed LIS / Nasdaq Capital Market) filed its S-1 on October 26, 2026, offering 2,833,334 primary shares at an indicative $5-$7. At the filing’s $6 midpoint, estimated net proceeds are approximately $15.1 million; final pricing remains undisclosed. Planned uses are 67.5% for technology and site development, 12.5% for marketing/business development and 20% for working capital and general purposes.
The Oak Ridge company develops laser-based uranium enrichment using its CRISLA process. Proprietary process knowledge and potential domestic enrichment demand support its development rationale, but commercial-scale performance and cost advantages are unproven. Its security procedures plan remains contingent on an NRC readiness review and is not a commercial enrichment license. Pilot and commercial-facility timelines are management targets.
For the nine months ended July 31, 2026, LIS reported no operating revenue, a $29.688 million net loss, $14.819 million operating cash outflow and $24.876 million cash capex. Period-end cash was $18.792 million. Management concludes discretionary-spending deferrals alleviate initial going-concern doubt, while the full development program requires additional financing. Regulatory execution, construction, technology and award dilution remain material risks.
What to monitor: final offer terms, regulatory readiness and licensing, technical validation, spending commitments and financing beyond this offering.

KAT Construction Services
KAT Construction Services (proposed KATX / NYSE American and NYSE Texas) filed its S-1 on October 29, 2026. It proposes 3,333,334 primary shares at $5-$7; final pricing is undisclosed. At the $6 midpoint, estimated net proceeds are $17.750 million, with $10 million allocated to unidentified acquisitions and the remainder to working capital, marketing, facility repayment and capex.
KAT fabricates and installs countertops and stone surfaces, primarily in Dallas-Fort Worth. Customer relationships, local execution and commercial, multifamily and residential operations support its business position, while regional concentration, skilled labor and Home Depot dependence constrain diversification. Historical results belong to the operating LLC before its August 2026 corporate conversion.
First-half 2026 revenue fell 35.6% to $6.414 million; gross margin declined to 33.0%. Net loss was $85,873, operating cash inflow $153,537 and cash capex $68,634. June 30 cash was $571,694 against $2.488 million debt carrying value, excluding leases.
Convertible preferred carries 100 votes per share and concentrated control. The filing contains inconsistent voting, share-count and repayment disclosures, which the report separates and recalculates. Conditional adviser equity prevents a fixed fully diluted share count.
What to monitor: final pricing, corrected transaction disclosures, acquisition commitments, revenue stabilization and financing costs.

Substantive updates to included coverage
Lycia: the final $18 price and 17.64 million base shares supersede its earlier 14.7 million-share, $16-$18 indicative offering. October 27 Form 4 footnotes identify IPO closing on October 26. October 30 ownership reports disclose a Venrock group shared beneficial position of 6,850,237 shares (11.9% on the filing’s 57,680,559-share denominator). The position reconciles to 4,779,793 prior conversion shares, 1,944,444 purchased in the IPO and 126,000 other purchases. Shared ownership across reporting persons is counted once; the denominator alone is not confirmation of underwriter option exercise. These are ownership disclosures, not a revised IPO price.
