This Week’s IPOs
Lycia Therapeutics, Inc. | LYCA
Lycia develops LYTAC-based medicines that degrade extracellular disease-related proteins, with clinical programs targeting IgE-mediated allergies and Graves’ disease. For the six months ended June 30, 2026, it reported no collaboration revenue and a $19.2 million net loss, with $148.1 million in cash, cash equivalents and marketable securities at period-end. The final prospectus offers 17.64 million primary shares at $18.00, producing $317.52 million in gross proceeds and approximately $290.7 million in estimated net proceeds. The underwriters have an option for 2.646 million additional shares. Expected October 26 delivery is not confirmation of closing. The base share count matches the additional registration reported on October 22. The development programs remain exposed to clinical, regulatory and manufacturing uncertainty; differentiated scientific approaches require further validation. What to monitor: Final transaction disclosures and subsequent financing, clinical enrollment and data releases, operating cash use, and any changes to the disclosed development timelines. Historical liquidity is a period-end balance and does not represent current cash or a forecast of runway.

Rezera Inc. | RZRA
Rezera develops oral NLRP3 inhibitors, with ruvonoflast being advanced toward a Phase 3 peripheral artery disease trial and trabzanoflast in neurological development. For the six months ended June 30, 2026, it reported no revenue, a $25.5 million net loss and $3.9 million in cash and cash equivalents at period-end. July financing included $15.2 million in gross preferred-stock proceeds and a $15 million term-loan draw. Those transactions postdate the June cash balance. Substantial doubt about the company’s ability to continue as a going concern remained after the financing. Offer price, share count and estimated proceeds are not disclosed in this filing.

Aspen Neuroscience, Inc. | ASPE
Aspen develops autologous cell therapies, led by sasineprocel for Parkinson’s disease, with a preclinical microglia program for pediatric leukodystrophies. For the six months ended June 30, 2026, it reported no revenue, a $36.5 million net loss and $72.4 million in cash, cash equivalents and marketable securities at period-end. The filing discloses substantial doubt about the company’s ability to continue as a going concern. Sasineprocel is in an early-stage, open-label study; clinical observations do not establish efficacy against a randomized comparator. Offer price, share count and net proceeds are not disclosed. The amendment expands manufacturing-patent risk disclosures and revises capitalization treatment for forgiven officer and director notes.

Georgia Banking Company | GBC / Nasdaq Capital Market
Georgia Banking operates an Atlanta-area commercial banking franchise. Its October 20 S-1/A registers 7,074,016 shares in a direct-listing transaction; this is resale coverage, not a primary capital raise. For the six months ended June 30, 2026, net interest income increased to $55.9 million from $46.9 million, net interest margin rose to 4.36% from 4.17%, and net income increased to $13.3 million from $6.7 million. June assets were approximately $3.3 billion and deposits $2.8 billion. Results include acquisitions: Georgia Primary was acquired in March 2025 and Tandem in June 2026, limiting organic-growth comparisons. Commercial real estate concentration, large loan relationships, deposit liquidity and integration costs are material considerations. The June private placement and subordinated-note transactions are separate from the direct listing.
What to monitor: Final transaction terms, the next reported financial period, and measurable changes to the operating or development milestones described above.

Neo Aeronautics | NEOA / proposed NYSE American
Neo develops vertical-takeoff-and-landing aircraft for recreational, logistics and customized applications. Its October 22 S-1/A proposes 3.75 million primary and 1.25 million secondary shares at $4-$6. Secondary proceeds belong to sellers. The company has not generated product revenue. For the first half of 2026 it recorded a S$408,916 net loss, S$470,135 operating cash outflow and S$190,508 ending cash. The financial statements disclose substantial going-concern doubt. Founder Neo Kok Beng holds all Class B shares, each carrying 15 votes, giving approximately 69.12% post-offering voting power including his Class A holding. Product development, regulatory qualification and commercialization remain prospective. The filing contains inconsistent conversion, proceeds and share figures across sections; those discrepancies must remain explicit rather than be silently harmonized.

Windward Bio | WWB / proposed Nasdaq Global Market
Windward is a Swiss clinical-stage biotechnology company developing long-acting antibodies for respiratory and dermatologic diseases. WIN378 targets TSLP and is in the POLARIS asthma program and SIRIUS COPD study; WIN027 targets TSLP and IL-13. Management attributes potential dosing convenience to extended half-life, but those claims do not establish comparative efficacy. The October 23 F-1 leaves price, share count and proceeds blank. The IFRS interim statements report a $42.636 million first-half 2026 net loss, $25.886 million operating cash outflow and $207.299 million in cash, equivalents and marketable securities. Property and equipment purchases were $121,000; license-asset payments are separate investing outflows. Licensing dependencies, clinical risk and funding requirements are central considerations. PRC clinical and licensing relationships require completion of the standing geographic screen before publication.

Hometown Financial | HFG / proposed Nasdaq Capital Market
Hometown is pursuing a mutual-to-stock conversion connected with TruNorth Bank and a proposed Primary Bank acquisition. The October 23 S-1/A specifies a $10 subscription price and at least 51 million shares sold to complete the conversion. The employee-plan participation-interest supplement is not a separate additional capital raise and must not be counted twice. At September 30, 2026, historical assets were $6.808 billion, deposits $5.676 billion and equity $755.849 million. Quarterly net income was $16.103 million versus $17.128 million a year earlier, despite net interest income rising to $61.807 million from $54.352 million. Loan credit-loss expense increased to $10 million from $1.75 million. Conversion capital, charitable-foundation shares, employee ownership and acquisition effects must be distinguished from historical operating results. Credit quality, capital deployment and compensation costs are key transaction considerations.
What to monitor: Final transaction terms, the next reported financial period, and measurable changes to the operating or development milestones described above.

MFB Bancorp | MFDB / intended OTCQB
MFB is a new holding company for Mutual Federal Bank. Its October 23 amendment covers a second-step mutual conversion and replacement of existing Mutual Federal Bancorp shares, which already trade on OTCID as MFDB. It is not a conventional first public listing. The offering covers 765,000 to 1,035,000 shares, potentially increased to 1,190,250, with up to 325,610 exchange shares separately disclosed. September 30 historical assets were $96.161 million, deposits $61.847 million, FHLB advances $16.5 million and equity $16.341 million. Nine-month net income fell to $42,000 from $377,000; net interest income was $2.651 million versus $2.617 million, while noninterest expense rose to $2.643 million from $2.282 million. Capital raised, exchange shares and new benefit-plan dilution require distinct treatment. Profitability, funding costs and capital deployment are central considerations.
What to monitor: Final transaction terms, the next reported financial period, and measurable changes to the operating or development milestones described above.

OPay | OPAY / proposed NYSE
OPay provides payments and lending services primarily in emerging markets. The October 23 F-1/A proposes 16 million ADSs at $19-$21, each representing ten ordinary shares, plus an option for 2.4 million ADSs. A separate conditional Standard Bank placement must not be counted as IPO proceeds. First-half 2026 revenue was $467.060 million versus $197.477 million, a calculated increase of 136.5%; Nigeria accounted for 89.5% of revenue. Operating income was $131.237 million versus $35.798 million. Expected-credit-loss provision increased to $118.355 million from $38.137 million, illustrating the lending component of growth. The Indonesian VIE is not direct equity ownership. Currency exposure, credit losses, customer-funds treatment and regulatory requirements warrant separate analysis. Singapore headquarters alone does not resolve the outstanding geographic/control screen.
