This Week’s IPOs
VME Companies, Inc.
VME Companies, Inc. (proposed Nasdaq Capital Market: VME) filed its latest S-1/A on October 13, 2026. The Texas holding company supplies process equipment, separation packages and modular engineering, procurement and construction services for energy projects. It proposes 4 million primary shares at $4-$5, implying $16-$20 million gross proceeds before the over-allotment option. Net proceeds and dollar allocations remain undisclosed; planned uses include project working capital, engineering capacity, balance-sheet support and general purposes.
Historical combined revenue fell from $188.8 million in 2024 to $52.1 million in 2025; H1 2026 revenue declined 38.0% to $25.0 million. H1 gross margin recovered to 25.0%, but net loss was $0.59 million. Operating cash flow of $0.45 million fell short of $0.95 million in PPE purchases. Specialized engineering experience and customer relationships are business strengths; project cyclicality, working-capital requirements, going-concern uncertainty and concentrated legacy ownership are material concerns.
What to monitor: Final proceeds, backlog conversion and contract-margin consistency. The summary cash figures differ from the financial statements, so this takeaway remains provisional pending reconciliation.

KiNRG, Inc.
KiNRG, Inc. (proposed NYSE American: BYOP) filed its latest S-1/A on October 13, 2026. It combines acquired TRINITY construction and construction-management operations with development-stage hybrid tower renewable power technology. The offer comprises 3 million primary shares at $5-$7, with approximately $16.1 million estimated net proceeds at the $6 midpoint. Planned uses include $5.5 million for structural design, $3.5 million for engineering and integration, $2.5 million for site selection, and the remainder for working capital and general purposes.
H1 2026 historical issuer revenue was $369.2 million and net income $15.9 million, reflecting acquisition timing rather than organic comparability with the pre-acquisition issuer. Operating cash flow was $107.7 million, heavily influenced by increases in construction payables and retentions. TRINITY’s execution history and reported backlog provide an operating base, while HTR construction has not begun and modeled performance remains unvalidated. Project financing, related-party transactions, working capital and going-concern disclosures warrant emphasis.
What to monitor: Acquisition-adjusted comparability, HTR development and final capitalization. Summary and detailed pro forma earnings differ; this takeaway remains provisional and does not use those conflicting earnings for valuation.

Cashlin
Cashlin (ticker and exchange not disclosed) filed its initial S-1 on October 15, 2026. It provides inventory-reorder and cash-planning SaaS for direct-to-consumer supplement-subscription brands. The self-underwritten, best-efforts offer registers 10 million primary shares at a fixed $0.10, with no minimum or escrow. Maximum gross proceeds are $1 million and estimated net proceeds $985,000, allocated to development, marketing, a $3,000 founder-facility repayment, and working capital.
Commercial operations began June 15. Three twelve-month, non-renewing contracts represent $30,000 annual fees; this is not renewal-backed ARR. From June 1 inception through June 30, revenue was $1,315, net income $711 and operating cash flow $2,281. Cash was $3,181; the balance sheet includes a founder software-acquisition note with $70,000 face value. A focused workflow and initial customer receipts provide a starting platform, while customer concentration, future amortization, insider transactions and uncertain OTCQB quotation remain concerns. The financial statements are labeled unaudited despite audited wording elsewhere in the filing.
What to monitor: Customer replacement after June 2027, cash costs, funds raised and quotation status. A full sale would leave founders with 60% ownership.

NuvOx Therapeutics, Inc.
NuvOx Therapeutics, Inc. (proposed NYSE American: NUOX) filed its latest S-1/A on October 13, 2026. The clinical-stage company develops NanO2, an intravenous oxygen-delivery therapy for hypoxic tissue, with programs in glioblastoma, ischemic stroke and respiratory distress. It proposes 2.86 million primary shares at $6-$8; estimated net proceeds are $17.4 million at the $7 midpoint. Funding is designated for clinical trials, Phase III preparation and working capital, rather than a secondary shareholder sale.
H1 2026 revenue was $0.567 million, predominantly grants, versus $0.592 million a year earlier. Operating loss widened to $2.894 million; the $6.006 million net loss includes substantial financing-related fair-value movements and a debt-amendment gain. Operating cash outflow was $1.268 million, with $0.332 million cash at June 30. Early human data, issued patents and multiple clinical programs provide a development foundation; uncertain efficacy, reported safety events, going-concern uncertainty and conversion-related dilution remain significant risks. Company clinical and competitive claims are not independently validated here.
What to monitor: Trial enrollment and results, safety attribution, financing completion and the conversion-adjusted share count. Final pricing and exchange approval remain pending.
